1. Agreement to Terms

By accessing or using Ellf (“the Service”), operated by ExplosionAI GmbH (“Explosion”, “we”, “us”, “our”), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Description of Service

Ellf is an AI-powered assistant for Natural Language Processing (NLP) and machine learning projects. The Service helps teams plan solutions, develop and annotate data, train and evaluate models, and deploy custom NLP pipelines. It is available through:

  • A web application for managing projects, tasks, actions, agents, and datasets
  • A command-line interface (CLI) for interacting with the platform programmatically
  • Coding assistant integrations via MCP servers, slash commands, and agents for tools like Claude Code
  • A data-private cluster hosted on your own infrastructure for processing, annotation, and model training

3. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Organizations may assign users one of three roles (Administrator, Developer, Annotator), each with different permissions. You are responsible for managing access within your organization.

4. Data-Private Cluster

A core component of the Service is the data-private cluster, which runs on infrastructure you control, either locally or in your own cloud account (AWS, GCP, Azure). The cluster stores your data assets, models, code, secrets, annotation databases, and conversation history. Your data is processed on the cluster and is not transmitted through our servers during processing. Our servers store only metadata necessary to coordinate the Service, such as resource names, IDs, paths, statistics, project metadata, and user and organization details. You are responsible for the provisioning, maintenance, and security of your cluster infrastructure.

5. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to develop competing products
  • Circumvent usage limits or access controls
  • Use the Service for any unlawful purpose
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to other users’ accounts or data

6. Intellectual Property

Your Content

You retain all rights to data, annotations, models, code, and other content you create, input, or generate using the Service. We do not claim ownership of your content.

Our Service

The Service, including its software, models, knowledge base, algorithms, documentation, and interface, is owned by Explosion and protected by intellectual property laws.

7. Data Handling

  • Customer data (text, annotations, datasets, model artifacts) is processed on your cluster and not stored on our servers beyond what is needed to fulfill a request
  • We do not use your data to train machine learning models
  • Anonymized usage telemetry may be collected to improve the Service
  • Third-party subprocessors (listed in our Privacy Policy) may process limited data as necessary to provide the Service

8. Third-Party Services

The Service integrates with third-party AI model providers (such as Anthropic) for its virtual assistant capabilities. Data sent to these providers for inference is not retained by them beyond the duration of the request. For Enterprise plans, you may configure the Service to use your own AI model provider. We are not responsible for the practices of third-party services and recommend reviewing their terms independently.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. Availability of your cluster depends on your own infrastructure. Features and APIs may change as the Service evolves.

10. Payment and Billing

  • Paid plans are billed monthly or annually in advance
  • Prices may change with 30 days’ notice
  • Refunds are available within 14 days of initial purchase
  • Failure to pay may result in account suspension
  • We support payment by credit card, PayPal, bank transfer, and purchase order
  • Enterprise pricing is available on request

11. Termination

Either party may terminate at any time. Upon termination:

  • Your access to the Service will cease
  • We will delete your account data within 30 days
  • Data on your cluster remains under your control and is unaffected
  • Provisions that by their nature should survive will remain in effect

12. Limitation of Liability

The Service is provided “as is.” To the maximum extent permitted by law, Explosion shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. This includes, without limitation, loss of data on your cluster infrastructure, downtime caused by your infrastructure, or actions taken based on outputs of the Service.

13. Indemnification

You agree to indemnify and hold Explosion harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 14 days before they take effect.

15. Governing Law

These Terms are governed by the laws of England and Wales and each party submits to the jurisdiction of the courts of England and Wales.
